J&C Aero Announces Sale of Majority Stake and Strategic Partnership with Setna iO

Vilnius, Lithuania / Chicago, IL — Feb. 23, 2026 — J&C Aero (J&C), a leading European cabin interior hub, today announced the sale of a majority stake in the company to Setna iO (SETNA), a Chicago-based full-service global aviation network specializ­ing in used serviceable material, trading, repair services, and asset leasing.

The strategic transaction is designed to accelerate J&C’s next phase of growth while preserving its operational standards, leadership continuity, and long-term vision. By partnering with SETNA, J&C will expand beyond its European home markets, broaden its service capabili­ties, and strengthen its international footprint. At the same time, SETNA will further diversify its portfolio and enhance its industrial platform through investment in a high-value aerospace business with strong lifecycle revenues and established OEM and aftermar­ket positioning.

Under the new ownership structure, J&C’s five founders will retain significant equity and continue to lead day-to-day operations, ensuring strategic consistency and founder-led execution. For J&C’s leadership, the decision ultimately came down to long-term alignment.

J&C Aero holds multiple regulatory approvals, including EASA Part 21J Design, Part 21G Production, Part 145 Maintenance, and Part CAMO. The company operates more than 9,000 square meters of facilities and is supported by a team of 240 specialists and industry experts.

For SETNA, the acquisition represents a deliberate expansion into certified aerospace design, production, and maintenance capabili­ties in Europe, further strength­en­ing its lifecycle offering.

The partnership combines J&C’s certified aerospace expertise with SETNA’s global leadership and industrial reach, creating a platform for accelerated growth, technology investment, and sustained long-term value creation for both organizations.

Completion of the transaction is planned for Q2 2026, subject to customary regulatory approvals.

Talisman acted as financial advisor to J&C during the transaction, and Walless law firm provided legal counsel. SETNA was advised by legal services firms Averus and Gould & Ratner LLP, while financial and tax diligence was provided by Plante Moran and PwC, respectively.
